Flutter Entertainment telah setuju untuk mengakuisisi operator yang menghadap Italia, Snaitech, dari Playtech dalam kesepakatan senilai €2,3 miliar ($2,6 miliar).
Kesepakatan itu ditandatangani pada hari Selasa (17 September) setelah rumor beredar selama berbulan-bulan tentang potensi akuisisi. Pada hari Senin, kesepakatan itu diperkirakan hampir selesai.
Harga transaksi tersebut hampir mencapai nilai pasar Playtech sebesar $3 miliar yang merupakan harga penutupan di London pada hari Senin, hanya sehari sebelum kesepakatan tersebut diumumkan kepada publik. Hal itu terjadi pada tahun 2018 ketika perusahaan tersebut mengakuisisi Snaitech seharga $846 juta.
Flutter Entertainment adalah perusahaan taruhan dan perjudian olahraga Irlandia yang berkantor pusat di Dublin. Perusahaan ini juga merupakan perusahaan induk dari berbagai merek dan operasi internasional utama, termasuk FanDuel, Sky Betting & Gaming, Sportsbet, Sisal, PokerStars, Paddy Power, Betfair, Adjarabet, TVG, dan Junglee Games.
Setelah kesepakatan tersebut, Flutter itu Kehadirannya di Italia diperkirakan akan bertumbuh dengan tambahan yang memberi raksasa perjudian itu pangsa pasar sekitar 30%.
Pada tahun 2023, Snai menguasai 9,9% pangsa pasar Italia dan menjadi operator daring nomor tiga di wilayah tersebut.
Di sebuah siaran pers oleh Flutter Entertainmenttiga alasan diberikan tentang bagaimana transaksi tersebut diharapkan dapat menciptakan nilai pemegang saham.
Ini termasuk memberikan “posisi kompetitif yang lebih baik di pasar yang berkembang pesat dan teregulasi,” meningkatkan portofolio merek “pahlawan lokal”, dan menyajikan “peluang yang menarik untuk mendorong sinergi biaya dan pendapatan melalui akses ke Flutter Edge, dan memberikan penciptaan nilai yang berarti.”
Kesepakatan Flutter dan Playtech dapat diselesaikan pada Q2 tahun 2025
Transaksi ini tunduk pada izin pengendalian merger dan izin regulasi umum lainnya, tetapi diharapkan selesai pada Q2 tahun 2025.
